Terms of Service

1. Acceptance of Terms

By accessing or using Orban's services, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.

These terms constitute a legally binding agreement between you and Orban Platform Inc. ("Orban", "we", "us").

2. Services

Orban provides enterprise AI infrastructure services, including:

• AI Agent creation and deployment platform
• Distributed GPU compute resources
• Model training and inference infrastructure
• API access and integrations

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Account

Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials.

Security

• Keep your password and API keys secure
• Enable two-factor authentication
• Notify us immediately of any unauthorized access
• You are responsible for all activity under your account

4. Payment & Billing

Pricing

Our services operate on a prepaid, pay-as-you-go model. Charges are based on actual resource usage and are deducted from your account balance.

Payment Terms

• Minimum deposit: $10 USD
• Credits valid for 12 months from deposit date
• Billing in USD; other currencies converted at current rates
• Credits are non-transferable and non-refundable

Insufficient Balance

If your balance is insufficient, services will be suspended. Tasks can be resumed within 24 hours upon recharge; otherwise, they will be automatically canceled.

5. Acceptable Use

You agree not to:

• Use services for any illegal purpose
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Distribute malware or conduct cyberattacks
• Attempt to gain unauthorized access to systems
• Abuse resources through cryptocurrency mining
• Resell or redistribute services without authorization

Violations may result in immediate termination and forfeiture of remaining balance.

6. Intellectual Property

Our Property

Orban's software, trademarks, and documentation are owned by Ball Technology Co., Ltd. You receive a limited, non-exclusive license to use our services.

Your Content

You retain ownership of data you upload or create. You grant us a limited license to process your content solely to provide services.

7. Limitation of Liability

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

8. Refund Policy

Due to the on-demand nature of compute services, resources are allocated immediately upon purchase and cannot be reclaimed.

9. Service Level Agreement

Availability Targets

• Personal: ≥ 95% uptime
• Academic: ≥ 98% uptime
• Enterprise: ≥ 99.5% uptime

Compensation

If we fail to meet SLA targets, you may request service credits as compensation. Submit claims within 30 days of the incident. Compensation is provided as service credits, not monetary refunds.

10. Termination

By You

You may close your account at any time. Remaining balance will be held for 30 days.

By Us

We may suspend or terminate your account for violations of these terms, with or without notice. Remaining balance may be forfeited in cases of fraud or abuse.

11. Changes to Terms

We may modify these terms at any time. Material changes will be notified 30 days in advance via email or platform announcement.

Continued use after changes take effect constitutes acceptance. If you disagree, you may close your account before the effective date.

• Governing Law: Laws of the Republic of China (Taiwan)
• Jurisdiction: Taiwan Taichung District Court
